Introduction
These Terms & Conditions (“Terms”) govern the provision of goods and services by Ensign Graphic Solutions Ltd (“Ensign”, “we”, “our”, or “us”) to customers, suppliers, contractors, and business partners.
By placing an order, engaging our services, or entering into a business relationship with Ensign, you agree to be bound by these Terms.
These Terms are governed by the laws of England and Wales.

Ensign provides graphic solutions and associated services including, but not limited to:
● Design services
● Manufacturing and production
● Signage and installation
● Printing and graphics
● Project management
● Consultancy and professional services
All services are subject to availability and acceptance.
Quotations and Orders
4.1 Quotations
All quotations provided by Ensign are valid for 30 days unless otherwise stated.
4.2 Orders
An order is only deemed accepted once confirmed in writing by Ensign.
Customers are responsible for ensuring all specifications, artwork, dimensions, and information supplied are accurate.
4.3 Amendments
Changes requested after approval or production commencement may result in additional charges and revised delivery schedules.
Pricing and Payment
All pricing is exclusive of VAT unless stated otherwise.
5.2 Payment Terms
Invoices are payable within the agreed payment period stated on the invoice.
Late payments may result in:
● Suspension of ongoing work
● Delayed delivery or installation
● Interest charges in accordance with the Late Payment of Commercial Debts (Interest) Act 1998
5.3 Deposits
Ensign reserves the right to request deposits or staged payments prior to commencement of work.
Delivery and Installation
6.1 Delivery Dates
Any delivery or installation dates provided are estimates only.
While Ensign will make reasonable efforts to meet agreed schedules, we shall not be liable for delays caused by:
● Client delays or approvals
● Supply chain disruptions
● Force majeure events
● Site access restrictions
● Third-party contractors
6.2 Site Access
Customers must ensure safe and suitable access to the installation site.
Any delays, additional labour, or costs arising from restricted access or unsafe conditions may be chargeable.
6.3 Permits and Permissions
Unless otherwise agreed in writing, the customer is responsible for obtaining any required permissions, permits, landlord approvals, or local authority consents.
Artwork and Proof Approval
7.1 Customer Responsibility
Customers are responsible for checking and approving all artwork proofs, specifications, and dimensions prior to production.
7.2 Colour and Resolution
Colours may vary slightly between digital proofs and final printed products.
Ensign shall not be responsible for issues caused by:
● Low-resolution artwork
● Incorrect file setup
● Customer-supplied design errors
● Spelling or typographical errors approved by the customer
7.3 Intellectual Property
Customers warrant that they own or have permission to use all supplied artwork, logos, trademarks, and content.
The customer agrees to indemnify Ensign against any claims relating to intellectual property infringement.
Health & Safety
Ensign is committed to maintaining safe working practices in accordance with UK health and safety legislation.
Customers and contractors must:
● Provide safe access to work areas
● Comply with relevant site safety procedures
● Notify Ensign of known hazards or restrictions
Ensign reserves the right to suspend work where unsafe conditions exist.
Environmental and Ethical Standards
Ensign is committed to:
● Ethical business conduct
● Environmental responsibility
● Compliance with the Modern Slavery Act 2015
● Fair labour standards
● Responsible supply chain management
We expect suppliers, subcontractors, and business partners to uphold equivalent standards.
Data Protection and Confidentiality
Both parties agree to comply with:
● Data Protection Act 2018
● UK General Data Protection Regulation (UK GDPR)
Confidential information exchanged during the course of business must:
● Only be used for authorised purposes
● Be stored securely
● Not be disclosed to unauthorised parties
These obligations continue after termination of the business relationship.
Liability
11.1 Limitation of Liability
To the maximum extent permitted by law, Ensign’s liability for any claim arising from the supply of goods or services shall not exceed the total value of the relevant contract.
11.2 Exclusions
Ensign shall not be liable for:
● Indirect or consequential losses
● Loss of profit or business interruption
● Delays outside our reasonable control
● Customer-supplied errors or inaccuracies
Nothing in these Terms excludes liability for:
● Death or personal injury caused by negligence
● Fraud or fraudulent misrepresentation
● Any liability that cannot legally be excluded
Subcontractors and Third Parties
Ensign may engage subcontractors or third-party suppliers where appropriate.
All subcontractors are expected to comply with:
● Health and safety requirements
● Ethical and labour standards
● Modern slavery legislation
● Data protection obligations
Ensign reserves the right to monitor supplier compliance.
Cancellation and Termination
13.1 Customer Cancellation
Cancellation after order confirmation may result in charges for:
● Design work completed
● Materials purchased
● Production costs incurred
● Labour and scheduling commitments
13.2 Termination by Ensign
Ensign reserves the right to terminate or suspend services where:
● Payment terms are breached
● Unsafe working conditions exist
● Illegal or unethical conduct is identified
● The customer breaches these Terms
Force Majeure
Ensign shall not be liable for delays or failure to perform obligations due to circumstances beyond reasonable control, including:
● Natural disasters
● Fire or flood
● Pandemics
● Industrial disputes
● Supply shortages
● Government restrictions
● IT or infrastructure failures
Complaints and Disputes
